Terms of Service – AuralScript

Welcome to AuralScript (“AuralScript”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, applications, APIs, and related services (collectively, the “Service”). By creating an account, using the Service, or clicking “I agree,” you agree to be bound by these Terms. If you do not agree, do not use AuralScript.

1. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use AuralScript. You are responsible for providing accurate registration information, keeping your login credentials confidential, and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

2. Use of the Service

We grant you a limited, non‑exclusive, non‑transferable license to access and use AuralScript solely for lawful purposes and in accordance with these Terms.

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code or models.
• Circumvent usage limits, security features, or access controls.
• Use the Service to generate or distribute illegal, harmful, defamatory, hateful, or otherwise unlawful content.
• Use voices or outputs to impersonate real individuals or organizations without their explicit consent, or to mislead audiences about whether a voice is AI‑generated.
• Resell, sublicense, or provide the Service as a standalone product to third parties without our written consent.

3. Plans, Billing, and Usage Limits

Some features of AuralScript are provided on a paid subscription or usage basis. By starting a paid plan, you authorize us and our payment processor to charge the applicable fees and any taxes to your chosen payment method. Subscription plans renew automatically at the end of each billing period unless you cancel before renewal in your account settings. We may update pricing or plan features; any changes will apply from your next billing cycle after notice.

4. Your Content and Generated Output

“Your Content” includes any text, scripts, prompts, audio, video, or other material you upload or provide to AuralScript. You retain ownership of Your Content.

You grant AuralScript a worldwide, non‑exclusive, royalty‑free license to process, store, and use Your Content solely to provide, maintain, and improve the Service (including generating voice output and maintaining system performance).

“Output” means audio or other material generated by the Service based on Your Content. Subject to your compliance with these Terms and any plan‑specific limits, you may use, edit, and distribute the Output for personal or commercial purposes. You do not acquire any rights in the underlying voices, models, or technology used to generate the Output.

You are responsible for ensuring that Your Content and your use of any Output comply with all applicable laws, including intellectual‑property, privacy, publicity, and advertising rules.

5. AI Voices, Consent, and Responsible Use

You agree that you will not:

• Use AuralScript to imitate or represent a real person (including public figures, clients, or colleagues) without their explicit, informed consent.
• Use the Service for fraud, scams, misinformation, deepfakes, or other deceptive practices.
• Use the Service in ways that violate privacy, recording, or other applicable laws in any jurisdiction.

You are solely responsible for obtaining all necessary permissions from any third parties whose data, likeness, or identity may be referenced in Your Content or the Output.

6. Intellectual Property

All rights, title, and interest in and to AuralScript, including the software, models, interfaces, design, logos, and documentation, are owned by AuralScript or its licensors. Except for the limited license in Section 2, nothing in these Terms transfers any AuralScript intellectual‑property rights to you.

You may not remove or alter any copyright, trademark, or proprietary notices, or use AuralScript’s name or branding in a way that suggests endorsement without our prior written consent.

7. Third‑Party Services

AuralScript may integrate with or link to third‑party services (such as hosting, payment processors, analytics, or storage). We are not responsible for the content, policies, or practices of third‑party services. Your use of those services is governed by their own terms and privacy policies.

8. Termination and Suspension

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if your use poses a security or legal risk, or if required by law. You may stop using the Service at any time and cancel a subscription through your account settings.

Upon termination, your right to use the Service ends immediately. We may retain or delete your data in accordance with our Privacy Policy and legal obligations.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, AuralScript disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee that the Service will be uninterrupted, error‑free, secure, or free of harmful components, or that any Output will be accurate, complete, or suitable for your specific use.

10. Limitation of Liability

To the maximum extent permitted by law, AuralScript and its directors, employees, and partners will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service or Output, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising from or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to AuralScript for the Service in the three (3) months preceding the event giving rise to the claim, or (b) USD $100 (or equivalent), where permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless AuralScript, its affiliates, and their respective officers, employees, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service or Output, or your breach of these Terms or applicable law.

12. Changes to the Service and Terms

We may update or modify the Service at any time, including adding or removing features. We may also update these Terms from time to time. When we do, we will update the “Last updated” date and, where required, notify you. Your continued use of AuralScript after changes become effective means you accept the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of United States of America, without regard to its conflict‑of‑law rules. Any disputes arising out of or related to these Terms or the Service will be brought exclusively in the courts of United States of America, unless applicable law requires a different forum.

14. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
